The Met Office have put a 'yellow warning' of ice in place for Cornwall and Devon, however temperatures in the far west and on lower ground are expected to stay above zero.
Motorists are warned to take care on the roads.
The Met Office says: "Surface temperatures will fall to around or just below freezing later on Friday evening and during Friday night across parts of England and Wales. With a lot of standing water present in many areas from the recent wet weather and flooding icy stretches are expected to form, particularly on untreated surfaces.
"The public should be aware of the potential for disruption to travel on the roads."
The Met Office's chief forecaster said the chance of ice is due to skies clearing from the west and northwest.
